Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “you”, or “your”) and De Novo Chem LLC (“De Novo Chem”, “we”, “us”, or “our”) governing your access to and use of the De Novo Chem website located at denovochem.com (the “Website”) and the Saguaro Chem search application (the “Search App”), collectively the “Services”.

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.

These Terms apply to the Website and the Search App only. Open-source software published by De Novo Chem on GitHub is governed by the license terms specified in each respective repository, not by these Terms.

De Novo Chem provides the following Services:

• Website: A landing page providing information about De Novo Chem, its products, open-source projects, publications, and contact information.
• Saguaro Chem Search App: A web-based chemical reaction database and structure search tool that allows users to search synthetic procedures, reaction conditions, yields, and source documents by chemical structure, substructure, similarity, or bibliographic metadata.
• Open-Source Projects: Chemistry-related tools and libraries published on GitHub under their own open-source licenses. These projects are not part of the Services and are governed solely by their respective repository licenses.

De Novo Chem is a purely digital service. We do not sell, distribute, or broker chemicals, pharmaceuticals, laboratory supplies, or any physical goods. The Search App provides information only.

Access to the Search App requires an account authenticated through our third-party authentication provider, Clerk. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must provide accurate and complete information when creating an account and must update such information to keep it accurate and current. You must be at least 16 years of age to create an account.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used in a manner that could harm the Services or other users.

You may use the Services only for lawful purposes and in accordance with these Terms. You are solely responsible for your conduct and any content or data you submit through the Services.

The restrictions in this section apply to the Search App and the data, results, and output obtained through it. They do not apply to De Novo Chem's open-source projects published on GitHub, which are governed solely by their respective repository licenses (typically the MIT License).

The following are strictly prohibited:

• Scraping and Automated Extraction: Using bots, crawlers, scrapers, scripts, or any automated means to extract, copy, or collect data from the Search App, except as explicitly permitted by the Services.
• Model Training: Using any data, results, or output from the Search App to train, fine-tune, evaluate, or benchmark machine learning models of any kind, including but not limited to models for retrosynthesis, reaction prediction, condition prediction, property prediction, NMR prediction, or any other cheminformatics or materials science application. If you are interested in using Search App data for model training or evaluation, please contact us at contact@denovochem.com to discuss a separate license or permission.
• Competing Products: Using data, results, or output from the Search App to create, develop, or improve any product or service that competes with or serves as a substitute for the Search App, including but not limited to chemical search services, reaction databases, retrosynthesis tools, condition predictors, forward reaction predictors, NMR prediction tools, or similar cheminformatics products. If you are interested in using Search App data for a purpose that may be competitive, please contact us at contact@denovochem.com to discuss a partnership or licensing arrangement.
• Reverse Engineering: Reverse engineering, decompiling, disassembling, or otherwise attempting to derive the source code, underlying algorithms, data structures, or trade secrets of the Search App.
• Circumvention: Bypassing, circumventing, or attempting to bypass or circumvent any rate limits, access controls, authentication mechanisms, or other security or usage restrictions of the Search App.
• Abusive Conduct: Using the Search App in any manner that could damage, disable, overload, or impair the Services, or interfering with any other party's use and enjoyment of the Services.
• Unlawful Activity: Using the Services for any purpose that violates applicable local, state, national, or international law.

Violation of any of these restrictions may result in immediate suspension or termination of your account and access to the Services, without notice, and may subject you to legal liability.

The Search App employs rate limiting to protect the integrity and availability of the Services for all users. Rate limits are designed to prevent abuse and automated misuse, not to restrict normal, legitimate use of the Search App.

Rate limits are set at levels that accommodate typical research workflows. If you find that rate limits are interfering with your legitimate use of the Search App, please contact us at contact@denovochem.com so we can discuss your needs.

Attempting to bypass or circumvent rate limits is a violation of these Terms, as described in Section 4.

De Novo Chem publishes open-source chemistry tools and libraries on GitHub at github.com/denovochem. These projects are licensed under the terms specified in each repository's LICENSE file and are not part of the Services governed by these Terms.

Any use of De Novo Chem's open-source software is subject to the applicable open-source license terms, which may include obligations and disclaimers separate from and independent of these Terms.

The Search App may surface information about chemical compounds that are hazardous, toxic, corrosive, flammable, explosive, carcinogenic, or otherwise dangerous. De Novo Chem attempts to retrieve compound safety data from PubChem and other public sources where available, but this data may be incomplete, outdated, or inaccurate.

The safety information provided through the Search App is for general informational purposes only and is not a substitute for professional safety advice, material safety data sheets (MSDS/SDS), or proper laboratory safety protocols.

You are solely responsible for evaluating the risks associated with any chemical compound you encounter through the Search App and for taking appropriate safety precautions. De Novo Chem assumes no responsibility or liability for any injury, illness, damage, or loss arising from the handling, use, storage, disposal, or transportation of any chemical compound found or identified through the Services.

Always consult the original source documents, official safety data sheets, and institutional safety guidelines before handling any chemical compound.

While De Novo Chem strives for the highest possible data quality, the Search App aggregates and processes data from a variety of sources, and there may be errors or inconsistencies in chemical names, synthetic procedures, characterization data, identifiers (including SMILES and InChI keys), yields, reaction conditions, bibliographic metadata, and other information presented through the Services.

De Novo Chem makes no guarantee that the data provided through the Search App is complete, accurate, or up to date. You are responsible for independently verifying the accuracy of any data before relying on it for research, synthesis, publication, or any other purpose.

Where possible, always consult the original source documents referenced in the Search App to confirm data accuracy. De Novo Chem assumes no responsibility for errors or omissions in the data or for any consequences arising from the use of inaccurate or incomplete data.

The Services, including all content, features, functionality, datasets, search interfaces, logos, brand assets, and software comprising or made available through the Services, are owned by De Novo Chem and are protected by copyright, trademark, and other intellectual property laws.

The De Novo Chem, Saguaro Chem, Cholla Chem, and Agave Chem names and logos are trademarks of De Novo Chem. You may not use these names or logos without our prior written consent.

Data retrieved through the Search App, including reaction data, synthetic procedures, and bibliographic information, is provided for your personal research and educational use. You may not redistribute, republish, or commercially exploit such data without our prior written consent, except as permitted by applicable fair use provisions.

Saguaro Chem is a search and discovery service. It helps you find relevant chemical reactions, synthetic procedures, and source documents — it is not a substitute for the original published articles and does not provide access to full-text articles or their supporting information documents.

10.1 What We Display

We do not display raw text extracted from academic articles, and we do not distribute article PDFs or supporting information files. Instead, we process the raw factual data and synthetic procedures from publicly available sources (downloaded via standard web browsers, never from behind paywalls or institutional logins) into entirely different, structured formats. These include:

• Chemical identifiers: SMILES strings and InChI keys generated from structural data.
• Reaction representations: Reaction SMILES encoding reactants, products, and reagents in machine-readable format.
• Annotated procedures: Synthetic procedures are transformed into a structured format using predefined step types (e.g., “Add,” “Set Temperature,” “Wait,” “Yield”) rather than reproducing the original prose.
• Characterization details: Raw reported characterization data (NMR, IR, MS, melting point, etc.) is processed into a predefined structured format with standardized field labels and units.

The above list is illustrative, not comprehensive. Other data formats may be present in the Search App, and new formats may be added over time.

10.2 Source Links and Text Availability

Each reaction and compound entry in the Search App links to its original source document. However, the availability of source text depends on the source type:

• Patent literature: Links to the full patent text are provided, as patents are published by government patent offices and are publicly accessible.
• Academic articles: Source text is not available through the Search App. Users must access the original publication through legitimate means — such as their institutional subscription, the publisher's website, or an open-access repository — to read the full text.

We have chosen not to reproduce text snippets from academic source articles. We believe the factual data, reaction conditions, yields, and characterization data we extract constitutes non-copyrightable factual information, but we go beyond what is legally required by transforming it into structured formats rather than reproducing the original text.

Saguaro Chem is a digitally delivered subscription service. Access to the Search App begins immediately after account activation. Subscription plans and pricing are described on the Saguaro Chem pricing page.

11.1 Free Trial

A 7-day free trial is available for new subscribers. To start a free trial, you must provide a valid payment method (credit card) at sign-up. Your card will not be charged during the 7-day trial period. If you cancel before the trial ends, you will not be charged. If you do not cancel before the trial ends, your subscription will automatically convert to a paid subscription and billing will commence according to the plan you selected at sign-up.

11.2 Billing

Subscriptions are billed on a monthly or annual basis, depending on the plan you select. Payments are processed by Stripe via our authentication provider, Clerk, which manages billing on our behalf. All fees are charged in U.S. dollars unless otherwise stated. Charges will appear on your credit card statement as “DE NOVO CHEM.”

11.3 Cancellation

You may cancel your subscription at any time through the account settings in the Search App or by contacting us at contact@denovochem.com. Upon cancellation, your subscription will remain active until the end of the current billing period, after which access to the Search App will cease. No additional charges will be made after cancellation takes effect.

11.4 Price Changes

We will not increase subscription prices without providing at least 90 days' notice. Price changes will apply only to future billing periods and will not affect your current billing cycle.

11.5 Refunds

All fees are non-refundable except as required by applicable law. Because Saguaro Chem is a digitally delivered service with immediate access, we do not provide refunds or credits for partial billing periods. You are responsible for all taxes associated with your subscription.

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. DE NOVO CHEM SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

DE NOVO CHEM DOES NOT WARRANT THAT THE SERVICES WILL OPERATE WITHOUT INTERRUPTION OR ERROR, THAT SEARCH RESULTS WILL BE ACCURATE OR COMPLETE, OR THAT SAFETY DATA WILL BE CURRENT OR COMPREHENSIVE. YOU USE THE SERVICES AT YOUR OWN RISK.

While we strive for maximum uptime and availability, we make no guarantee or representation regarding the uptime, availability, or reliability of the Services. The Services may be temporarily unavailable due to scheduled maintenance, system upgrades, infrastructure failures, or other factors. We are not liable for any downtime, service interruptions, or loss of access to the Services.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL DE NOVO CHEM BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF DE NOVO CHEM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

DE NOVO CHEM'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO DE NOVO CHEM IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

SPECIFICALLY, DE NOVO CHEM SHALL NOT BE LIABLE FOR ANY INJURY, ILLNESS, DAMAGE, OR LOSS ARISING FROM THE HANDLING, USE, STORAGE, DISPOSAL, OR TRANSPORTATION OF ANY CHEMICAL COMPOUND IDENTIFIED OR ENCOUNTERED THROUGH THE SERVICES, REGARDLESS OF WHETHER SAFETY INFORMATION WAS PROVIDED THROUGH THE SERVICES.

You agree to indemnify, defend, and hold harmless De Novo Chem and its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or the rights of any third party; or (d) any injury or damage caused by your handling of chemical compounds identified through the Services.

You may terminate your account and subscription at any time through the account settings in the Search App or by contacting us at contact@denovochem.com.

We may suspend or terminate your access to the Services at any time, with or without notice, if: (a) you violate these Terms; (b) we reasonably believe you are using the Services in a manner that could harm us, other users, or the Services; or (c) we cease to offer the Services or any material component thereof.

Upon termination, your right to use the Services will immediately cease. Termination does not relieve you of any obligation to pay fees accrued before the effective date of termination.

These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, United States of America, without giving effect to any conflict of law provisions.

Any legal suit, action, or proceeding arising out of or related to these Terms or the Services shall be instituted exclusively in the state or federal courts located in Maricopa County, Arizona, and each party irrevocably submits to the exclusive jurisdiction of such courts.

We may amend these Terms from time to time by posting the revised terms on this page. We will use reasonable efforts to notify users of material changes, such as by posting a notice on the Website.

The date the Terms were last revised is identified at the top of this page. Your continued use of the Services after changes are posted constitutes your acceptance of the revised Terms.

Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

Entire Agreement: These Terms constitute the entire agreement between you and De Novo Chem with respect to the Services and supersede all prior or contemporaneous understandings regarding such subject matter.

Assignment: You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, pandemics, or governmental actions.

Waiver: No waiver of any provision of these Terms shall be effective unless in writing and signed by an authorized representative of De Novo Chem.
